Terms of Service

1. Acceptance of Terms

By accessing or using Kailan (available at kailan.cloud), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Kailan is operated by Urume Maruboshi ("we," "us," or "our"). These Terms govern your use of the Kailan web application and all related services.

2. Description of Service

Kailan is a peer document circulation tool that allows users to:

  • Create review requests ("Kailans") with attached files
  • Share Kailans with team members via URL or QR code
  • Collect responses (Agree, Pass, or Question) from peers
  • Track response status and generate summary reports

The Service is provided on an "as is" and "as available" basis.

3. User Accounts

To use Kailan, you must sign in using a Google account. By signing in, you authorize us to access certain information from your Google profile, including your name, email address, and profile photo.

You are responsible for:

  • Maintaining the security of your Google account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

4. User Content

You retain ownership of all content you upload to Kailan, including files, titles, descriptions, and comments ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, display, and transmit your content solely for the purpose of providing the Service.

You represent and warrant that:

  • You own or have the necessary rights to upload and share the User Content
  • Your User Content does not infringe on the intellectual property rights of any third party
  • Your User Content does not contain illegal, harmful, or objectionable material

5. Acceptable Use

You agree not to use the Service to:

  • Upload or share content that is unlawful, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to the Service or related systems
  • Use the Service for any commercial purpose not expressly permitted
  • Upload files containing malware, viruses, or other harmful code

6. File Upload Restrictions

The following restrictions apply to file uploads:

  • Maximum file size: 10 MB per file
  • Supported file types: PDF, JPG, PNG, and GIF
  • Files are stored using Firebase Storage with secure access controls

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, to be inappropriate.

7. Data Retention and Deletion

Kailans and their associated data (including uploaded files and responses) are automatically deleted 7 days after the Kailan's finish time has passed. Users may also manually delete their own Kailans at any time from the dashboard.

Once deleted, content cannot be recovered. We recommend downloading any necessary reports (such as PDF summaries) before the finish time expires.

8. Sharing and Visibility

When you create a Kailan, it generates a unique URL that can be shared with anyone. Any person with the URL who is signed in with a Google account can view and respond to the Kailan.

You are solely responsible for controlling who you share the URL with. We are not responsible for any unauthorized access resulting from URL sharing.

9. Intellectual Property

The Kailan service, including its design, branding, logos, and underlying code, is owned by Urume Maruboshi and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

The Kailan name, logo, and "Peer Loop" are trademarks of Urume Maruboshi.

10. Third-Party Services

Kailan relies on the following third-party services:

  • Google Authentication — for user sign-in
  • Firebase (Google Cloud) — for data storage, file hosting, and backend services
  • Vercel — for web application hosting and content delivery
  • Google Analytics 4 — for anonymous usage analytics

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, reliability, or practices of third-party services.

11. Service Availability

We strive to maintain the availability of Kailan, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or other operational reasons without prior notice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URUME MARUBOSHI AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14. Indemnification

You agree to indemnify, defend, and hold harmless Urume Maruboshi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

15. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service at any time, with or without notice. We may also update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last Updated" date.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Disclaimer of Warranties, and Indemnification) will continue to apply.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.
